What SPICe+ bundles, and the first steps after
SPICe+ is a single integrated form in two parts. Part A reserves the name; Part B handles the incorporation itself and, in the same filing, allots up to three DINs, the company PAN and TAN, and through the linked AGILE-PRO-S form can register you for EPFO and ESIC, professional tax (in states like Maharashtra and Karnataka), an optional GST registration, and a bank account. So a clean SPICe+ filing comes out the other side with a lot already in place. The work doesn’t stop at the Certificate of Incorporation, though. Within 30 days the board appoints the first auditor (ADT-1) and holds its first meeting; within 60 days share certificates are issued and stamp duty paid on them; and within 180 days you file INC-20A, the declaration of commencement of business, after the subscribers actually pay their share capital into the company’s bank account. Missing INC-20A is a common early slip that blocks the company from borrowing or starting operations and attracts a penalty. Lining these post-incorporation steps up in advance is what turns a fresh Certificate of Incorporation into a company that can actually trade.
