Approve the new name and resolve
First, get the new name approved (via RUN or SPICe+ name reservation), checking it’s available and compliant. Then the shareholders pass a special resolution approving the change and the consequent alteration of the MOA/AOA.
File and get the new certificate
You file MGT-14 (for the special resolution) and INC-24 (application for name change) with the ROC. On approval, a fresh certificate of incorporation is issued in the new name — but the company’s CIN and legal identity continue, so contracts and history carry over. Confirm the current forms and timelines.
Don't forget the downstream updates
Example: after the ROC issues the new certificate, the company updates its name on its PAN, GST, bank accounts, licences, letterheads, invoices and website, and informs customers and vendors. The old name effectively becomes the former name on records. Missing a downstream update (say GST) causes invoice mismatches. Our team can manage the name change and the follow-through.
